Franklin Soccer Club

Bylaws

 

1)      Name

a)   The organization shall be known as the Franklin Soccer Club (Club).

2)      Purpose

a)   The purpose of the Club shall be to develop, promote, and administer recreational soccer for youth (boys and girls under fourteen years of age) within the Franklin Soccer Club boundaries (Section 1:04).

b)    Franklin Soccer Club provides recreational soccer regardless of race, color, religion, age, sex, national origin and/or ability. Franklin Soccer Club will provide an environment based on development of camaraderie, team effort, skills, and for a love for the game of soccer.

3)      Affiliation

a)   This Club is affiliated with Elk Grove Youth Soccer League (EGYSL). To the extent permissible, Franklin Club bylaws shall be consistent with the bylaws of EGYSL.  To the extent permissible, the Club and its members shall abide by the bylaws.

4)      As an affiliate of EGYSL the all powers to enter into contracts lie with EGYSL.  The Club President may enter into contracts with individuals, but not businesses, for the purposes of providing soccer skills training. EGYSL shall make policies that guide the development of effective contracts that protect the business interests of the EGYSL and therefore the Club.

5)      Boundaries and Territories

a)   The Boundaries of Franklin Soccer Club are as follows.  Franklin Soccer Club is bounded on the north at Elk Grove Blvd., on the east by Highway 99, on the south by the Sacramento-San Joaquin County line, on the west by Interstate 5.

6)      Membership

a)    All teams and players shall abide by the bylaws of the Club and all policies and procedures as set forth by the board of directors and all applicable policies and procedures of EGYSL.

 

7)      The Club shall submit yearly:

a)    A properly completed Club Affiliation Form shall be submitted by the February meeting preceding the season year.

b)    Properly completed Player, Adult, and Team Registration forms, prepared in accordance with registration instructions and procedures.

i)     Annual fees for players are due and payable, unless otherwise provided for by the board of directors, at the time, but no later than, such player’s first team or league practice and/or game. Teams are not considered registered until all of that team’s player fees are paid.

8)      All bank checks, drafts and/or money orders submitted to the Club, shall be payable to the Franklin Soccer Club.

9)   The Club is responsible for governing the persons and their actions associated with its operations. Teams shall abide by the playing league rules.

10)  A plea of ignorance to the bylaws, policy and procedures of the Club, or EGYSL is not sufficient and violators may expect appropriate action by the board of directors of the Club or EGSYL.

11)  Any person found guilty of violating the bylaws, policy and procedures of the Club or EGYSL may be asked to appear before the board of directors in order to explain his/her actions.

12)  Members of the Club may be placed in bad standing when monies are owed and/or by disciplinary actions imposed by the board of directors and/or PAD committee. A member in bad standing may not vote nor participate in any official position of this Club or EGYSL. If a player’s fees have not been submitted, the parents/guardians are placed in bad standing. Under no circumstances will a player be unable to participate due to non-payment of fees; this is a parent/guardian responsibility.

13)  Authorities

a)   The Club shall be governed by its bylaws, any policy and procedures adopted by the board of directors, the bylaws, specific rules and procedures of the Club. Copies of the Club’s bylaws and governing documents shall, upon reasonable request, be made available to members.

b)    Policies and procedures of the Club shall be reviewed annually and recommended changes be forwarded in writing to the Club board of directors no later than 15 days prior to the March regular meeting and/or at a regularly scheduled monthly meeting with 30 days notification. An amendment to the policies and procedures shall be deemed adopted by a simple majority vote of the Club board of directors.

 

        c)    The governing authority of the Club, whose powers shall be designated in the bylaws, shall             be vested with the board of directors.

d)    The governing board, hereinafter referred to as the “board of directors” shall be comprised of the Franklin Soccer Club officers known as president, vice president, secretary, treasurer, field coordinator, coaching coordinator, referee coordinator, and registrar.

14)  General Meetings

a)    General meetings of the board of directors will be held monthly. Additional meetings may convene when the president deems it necessary, or when instructed to do so by four (4) or more members of the board of directors. The agenda for regular meetings should include the following:

i)         Call to order

ii)       Roll call

iii)     Introduction of guests

iv)     Acceptance of meeting minutes

v)      Treasurer’s report

vi)     President’s reports

vii)   Committee reports

viii)  Unfinished business

ix)    New business

x)      Announcements and time and place of next meeting

xi)    For the good of the game

xii)  Adjournment

15)  Rules of Order

a)    The rules contained in Robert’s Rules of Order shall govern the Club in all cases in which they do not conflict with the bylaws of the Club.

b)   Guests or Club members that attend General Meetings or the Annual Meeting are allotted 10 minutes.  It is the discretion of the president to grant additional time.

 

16)  Quorum

a)   At all meetings of the board of directors, fifty percent (50%) of the board of directors shall constitute a quorum for the transaction of business.

17)  Board of Directors

a)   Board of director officers shall be elected at the AGM and serve for a period of two (2) years. Additional Club positions may be appointed as deemed necessary by the president although shall not be entitled to full board of directors privileges.

i)      President The president shall conduct all meetings of the board of directors and cast a vote only in the case of a tie. The president shall also be responsible for such other duties given by the board of directors. The president shall represent or assign a representative of the Club at all related activities and functions of EGYSL, district and state associations, Elk Grove Community Services, and Elk Grove Unified School District.

ii)    Vice President The vice president shall succeed to the powers of the president in his/her absence. The vice president shall be responsible for organizing and coordinating events and publicity of all Club activities.

iii)   Secretary The secretary shall be responsible for prompt, respectful, and accurate Club administrative communications.

iv)   Treasurer The treasurer shall be responsible for the accuracy and promptness of all Club financial transactions and record keeping. Shall give receipt for all monies which will be deposited in a recognized bank in the name of the Club. All accounts shall be paid by check and bear one of two signatures; one of the signatures shall be that of the treasurer and the other shall be that of the president. No two related parties shall be the two required signatures, regardless of payee. Prepare, when required by the board of directors, the receipt book and vouchers properly balanced according to the bank book or statement, which is up to date. Perform an annual audit of club financial records. Prepare proposed annual budget to be submitted at the AGM. The board of directors shall vote the new budget at the March monthly meeting.

v)    Registration Coordinator The registration coordinator shall be responsible for the accuracy, validity and timeliness of all Club registered players, coaches, and referees. Review and update Club registration policy and procedures, maintain the Club’s registration data, process automated registration and export to EGYSL, and maintain appropriate registration files for historical purposes.

 

vi)    Coaching Coordinator The coaching coordinator shall be responsible for coordinating the training and licensing of Club coaches. The Coaching Coordinator shall advise the President for League PAD meetings.

vii)  Referee Coordinator The referee shall be responsible for the adequate quantity, quality, and performance of Club referees. The incumbent of this position shall be a certified referee.

b)      The board of directors shall be responsible for, and have sole authority of, the following;

i)      Enforcing and interpreting the bylaws, and policy and procedures.

ii)    Shall, from time to time, make temporary rules or regulations for specific cases or occasions not provided for in the bylaws, or policy and procedures but which are deemed necessary, by the board of directors, to carry out the objectives of the Club to comply with the rules and regulations of EGYSL.

c)   The board of directors shall have the right and authority to suspend, bar completely, or otherwise discipline any player, coach, team assistant, Club officer, referee, or any individual from any team with the proper hearing.

d)   The board of directors shall have, by two-thirds vote of those members present, the authority to remove, with cause, any member of the board of directors with a proper hearing. Notice of said hearing shall be given, in writing, at least 14 days prior to the hearing. Cause shall be deemed as not performing one’s duties as set forth by the bylaws or being found guilty of conduct that is detrimental to the purpose of the Club.

18)  Annual General Meeting

a)   The Club president shall call an annual general meeting (AGM) of the membership. Notice to members of Franklin Soccer Club shall be made not less than twenty-one (21) nor more than forty-five (45) days before the meeting, and shall include the date, time, and place of the meeting.

i)      The order of business at the AGM shall be as follows:

19)  Each member of the Club, board of directors, adult coach, adult referee, and parent(s) of players shall be entitled to one (1) vote. Voting shall be restricted to teams and their registered players which have been registered during the current season. Voting by proxy shall not be allowed and only those members of record, in good standing, shall be entitled to voting privileges. No person shall cast more than one (1) vote, regardless of his/her affiliation with, teams, and/or as a member of the board of directors. The Club president e shall cast a vote only in the event of a tie.

a)    A quorum shall consist of any number members present at the annual general meeting.

20)  Changes

a)    Any Club member or any member of the board of directors may submit proposed changes to the existing bylaws.

b)   Amendments to the bylaws shall be made at the AGM of the membership, except in such cases as specified in the bylaws. Proposed amendments shall be submitted to the Board at the monthly meeting prior to the AGM. The Board will take an advisory vote on each proposal, the results of which will be available to the members prior to voting at the AGM.

c)    An amendment shall be deemed adopted by an affirmative vote of two-thirds of the members attending and voting at the AGM.

21)  In the event there are two or more rule change proposals that are to be voted on at the AGM of the EGYSL that conflict with each other, the rule change proposal that receives the greatest number of “yes” votes shall prevail providing that it receives a two-thirds majority of those voting, no runoff voting is allowed.

22)  Nominations for office shall be made at the AGM.

23)  Should there be no nominations at the AGM the Board will seek qualified applicants for election by the Board at a future meeting.
